Applicability

These general terms and conditions apply to the formation, content and fulfilment of all agreements concluded with HSU. Further agreements, commitments and statements by or on behalf of HSU are only binding on HSU if they have been confirmed in writing by HSU. In the event of a conflict, these general terms and conditions expressly exclude the application of all general terms and conditions, of whatever nature, of the client.

 

The creation of assignments

The agreement of assignment between HSU and the client is created by offer (quotation) and acceptance. HSU will strive for written confirmation of the order from the client, including confirmation by means of electronic messaging. After HSU has commenced the work, it will be assumed that the order has been placed in accordance with the quotation, even without written confirmation of the order from the client.

 

Cancellation of orders

Cancellation of an agreement from the client is only possible with written permission from HSU. After permission for cancellation has been granted, the client is obliged to compensate HSU for all damage that HSU has suffered or will suffer as a result of the cancellation. This includes HSU's loss of profit, regardless of HSU's other rights.

 

Execution of the agreement

HSU will execute the agreement of assignment to the best of its knowledge, ability and in accordance with the requirements of good workmanship.

 

Payments

Payment of the amount stated on the invoice must be made within 30 days of the invoice date. In the event of late payment, the client is in default without notice of default by HSU being required. After the payment term has expired, the client is liable to pay interest on the invoice amount from the expiry of the payment term, without further notice of default. The interest to be paid amounts to 1% of the invoice amount for each month, or part thereof. In the event of late payment, the client will be reminded in writing by HSU, initially by e-mail or regular mail. If no timely and full payment follows even after this reminder, HSU will send a reminder by registered mail. For this reminder, the client will comply with the official collection costs towards HSU.

 

Liability

HSU's liability for damage suffered by the client as a result of a shortcoming in the execution of the order is limited to the amount that HSU has charged for the order in question. If it concerns a continuous order for which periodic invoices are sent, HSU's liability is limited to the amount that HSU invoiced in the last month prior to the damaging incident. HSU is not liable for any consequential damage suffered by the client. HSU's liability towards the client is in any case limited to the amount to which the liability insurance taken out by HSU gives entitlement.

 

Applicable law and jurisdiction of the court

All agreements concluded with HSU are subject to Dutch law. Disputes arising from agreements concluded with HSU will be submitted exclusively to the competent court in Amsterdam.
